2.2 Personal condition.

2.2.1 The contracting authority will exclude from the procedure for awarding an agreement on public procurement every economic operator:

— that was sentenced with an effective verdict in the past 5 years for participation in a criminal organization, corruption, fraud or money laundering;

— that was sentenced with a minor penalty — prohibition for protection in procedures for public invitation, awarding agreements on public procurement and public-private partnership agreements;

— that was sentenced with minor penalty — temporary or permanent prohibition for performance of a specific activity;

— that is in bankruptcy or insolvency procedure;

— that has unpaid taxes, contributions and other public charges, except if the economic operator has an approval for delayed payment of taxes, contributions or other public charges in accordance with the special regulations and pays the same regularly;

— that was sentenced with a sanctioned offence — prohibition for performance of a vocation, business activity or duty, that is, temporary prohibition for performance of a specific activity and

— that gives false information or does not deliver the information demanded by the contracting authority.

2.2.2 In order to prove the personal condition, the economic operator delivers the following documents:

— statement by the economic operator that in the last 5 years it was not sentenced with an effective verdict for participation in a criminal organization, corruption, fraud or money laundering;

— certificate that no insolvency procedure is open by a competent authority;

— certificate that no liquidation procedure is open by a competent authority;

— certificate for paid taxes, contributions and other public charges by a competent authority from the country where the economic operator is registered;

— certificate from the Register of penalties for performed criminal acts of the legal entities, that it was not sentenced with a minor penalty for participation in procedures for open invitation, awarding agreements on public procurement and public-private partnership agreements,

— certificate by the Register of penalties for performed criminal acts of the legal entities that it was not sentenced with a minor penalty — temporary or permanent prohibition for performance of a specific activity and

— certificate that with an effective verdict it was not sentenced with a sanctioned offence — prohibition for performing vocation, business activity or duty, that is, temporary prohibition for performing a specific activity.

2.2.3 The statement from line 1 sub-item 2.2.2 is prepared and signed by the economic operator and the same does not have to be certified by a competent authority.

2.2.4 The certificates that an insolvency and liquidation procedure has not been open, as well as the certificates from the register of penalties for performed criminal acts from line 5 and 6 of sub-item 2.2.2., are issued by competent authorities in the country where the economic operator is registered. Competent authority for the issuance of these certificates in the Republic of Macedonia is the Central Register of the Republic of Macedonia.

2.2.5 The certificate for paid taxes, contributions and other charges is issued by a competent authority from the country where the economic operator is registered. Competent authority for the issuance of this certificate in the Republic of Macedonia is the Public Revenue Office.

2.2.6 The certificate from line 7 sub-item 2.2.2 is issued by the competent authority in the country where the economic operator is registered. Competent authority for the issuance of this certificate in the Republic of Macedonia is the Central Register of the Republic of Macedonia.

2.2.7 The documents from sub-item 2.2.2 must not be older than 6 months calculated from the final deadline for submitting the bids backwards.

2.2.8 If the country where the economic operator is registered does not issue the documents listed in sub-item 2.2.2 or if they do not include all cases indicated above, the economic operator can deliver a statement certified by a competent authority.

2.3 Ability to perform professional activity.

2.3.1 In order to prove the ability to perform a professional activity, the economic operator should deliver a document for registered activity as an evidence that it is registered as a physical person or legal entity for performing the activity related to the subject of the agreement on public procurement or an evidence that it belongs to a respective professional association pursuant to the regulations of the country where it is registered.

Економска и финансиска состојба:

2.4 Economic and financial condition.

2.4.1 In order to qualify as capable to perform the subject agreement on public procurement in terms of its economic and financial condition, the economic operator should comply with the following minimal condition:

— in the past 3 years (2012, 2013, 2014) it should have realized a total income not less than 800 000 Euro.

2.4.2 The economic operator proves the compliance with the minimal condition from sub-item 2.4.1 by delivering:

— a balance sheet certified by a competent authority, that is, revised balance sheet, or excerpts from the balance sheet in cases when the publication of the balance sheet is stipulated by law in the country where the economic operator has been registered;

— statement of the total turnover of the company (data from the income statement issued by a competent authority, that is, a revised income statement) and where appropriate, from the turnover in the field which is covered by the agreement on public procurement, mostly for the last three financial years for which such information are available depending on the date when the enterprise was established or started operation or depending on the availability of such information.

2.4.3 If the balance sheet and the income statement were a subject to a commercial audit, the economic operator may deliver the same as an evidence that it meets the minimal condition for determination of the economic and the financial condition without additional certification by a competent authority.

2.4.4 If the balance sheet and the income statement were not a subject to a commercial audit, the economic operator delivers them certified, that is, issued by a competent authority as an evidence that it meets the minimal condition for determination of the economic and the financial condition. A competent authority in the Republic of Macedonia is the Central Register of the Republic of Macedonia.

2.4.5 The economic and the financial ability of the economic operator may be supported by another entity, regardless of the legal relations between the economic operator and that entity, except when it is a matter of data from the income statement. If the economic operator proves his economic and financial ability referring to the support by another entity, he is obliged to prove the support with valid evidence that this entity will make available to the economic operator the appropriate funds. An effective judgment may not be adjudged against the entity that provides the financial support, for participation in a criminal organization, corruption, fraud or money laundering.

2.4.6 If economic operators submit a bid as a group of economic operators, the economic and the financial condition is proven by considering the resources of all group members. If the group of economic operators participates with a financial support by a third entity, the economic and the financial condition is determined according to what is indicated above.

Потребни депозити и гаранции:

4.6 Bid guarantee.

4.6.1 As part of the bid, the economic operator should compulsorily provide a guarantee of the bid (guarantee for participation) in an amount of at least 3 % of the total value of the bid excluding VAT.

4.6.2 The guarantee is in a form of a banking guarantee.

4.6.3 The guarantee should be submitted in its original form. Copies are not acceptable. The guarantee must have a validity period of at least 14 days (after the day of expiry of the bid validity). Every bid that does not contain a bid guarantee, or contains a bid guarantee which is not in accordance with the conditions in the tender documentation, will be rejected by the contracting authority as unacceptable.

4.6.4 The bid guarantee is returned to the most successful economic operators within a period of 7 days after the conclusion of the agreement with the most favourable economic operator.

4.6.5 The bid guarantee may be charged in the following case: if the bidder withdraws his bid prior to the expiry of its validity period, if he does not accept the correction of the arithmetic mistakes by the commission, if he does not sign the agreement on public procurement pursuant to the conditions of the tender documentation and if he does not provide a guarantee for successful performance of the agreement.

7.5 Guarantee for quality performance of the agreement

7.5.1 A condition for signing of the agreement with the holder of most favourable bid is the provision of a guarantee by the holder of the most favourable bid for quality performance of the agreement in an amount of 10 % of the value of the agreement. The validity of the guarantee is determined during the day of preparation of a minute for reception of the equipment in a warehouse until the expiry of the guarantee period.

7.5.2 The guarantee from item 7.5.1 is delivered in a form of a banking guarantee in writing. The guarantee should be submitted in original. Copies are not acceptable.

The contracting authority after the performed selection of the most favourable bidder, additionally determines the deadline of validity of the guarantee.

7.5.3 The banking guarantee for quality performance of the agreement will compulsorily be in the currency of the agreement.

7.5.4 The guarantee for quality performance of the agreement should be issued by a bank acceptable for the PE Macedonian Broadcasting.

7.5.5 The guarantee for quality performance of the agreement is delivered by the most favourable bidder after the obtained notification regarding the performed selection, and before the conclusion of the agreement within a term specified by the contracting authority with the notification.

7.5.6 The guarantee for quality performance of the agreement is being delivered by mail or personally to the contact person from item 1.2.2 of the tender documentation.

7.5.8 The guarantee for quality performance of the agreement will be charged if the holder of the procurement does not meet some of the obligations of the public procurement agreement within the due period, and the contracting authority will notify the holder of the procurement about this in writing. If the guarantee for quality performance of the agreement is charged, the contracting authority will publish to the SPPS a negative reference. For collection of the banking guarantee for quality performance of the agreement and for the publication of a negative reference at the EPPS, the holder of the procurement may initiate a dispute before the competent court.

7.5.9 If the public procurement agreement is fully realized according to what has been agreed, the banking guarantee for quality performance of the agreement is returned to the holder of the procurement by the contracting authority within 14 days from the complete realization of the agreement.

7.5.10 The contracting authority returns the guarantee for quality performance of the agreement to the holder of the procurement by mail, personally at the seat of the economic operator or personally at the seat of the contracting authority.

7.5.11 The contracting authority will request a delivery of a new banking guarantee for quality performance of the agreement in an event of a defect of a part of the equipment and if a need of replacement occurs until the continuation of the guarantee period. The amount of the new banking guarantee will be determined appropriately with the value of the equipment for which the guarantee period is extended.

7.1 Manner of payment

7.1.1 The following manner of payment is stipulated: 70 % of the value of the goods subject to delivery in the agreement on public procurement will be paid after performed delivery of the goods and reception in the warehouse of the PE Macedonian Broadcasting, and 30 % of the value of the goods will be paid by the contracting authority after performed commissioning and prepared appropriate minutes for each facility separately. The manner of payment is compulsory. Every bid that contains manner of payment different than the one determined in this item, shall be considered unacceptable and as such it will be rejected by the commission on public procurements.

1.8 Right to participation.

1.8.1 The economic operator that has one or few negative references, the group of economic operators whose member is an economic operator with a negative reference, as well as the economic operator that represents company related to the economic operator that has a negative reference, is not entitled to participation.

1.8.2 The right to submit a bid is entitled to every interested national and foreign legal entity and natural person — bidder, which is registered to perform activity related to the subject of the agreement on public procurement.

1.8.3 The right to deliver a bid is also entitled to a group of bidders with no obligation to join in an appropriate legal form. The contracting authority will not ask the group of bidders to join into a special legal form if the same is selected for a holder of the procurement.

1.8.4 An integral part of the group bid is an agreement for submitting a joint bid wherewith the members in the group of economic operators mutually and to the contracting authority oblige to perform the agreement on public procurement. This agreement should contain the following data: the member of the group who will be the holder of the group, that is, who will submit the bid and will represent the group, the member of the group who will sign the agreement on public procurement on behalf of the group of economic operators, the member of the group who will provide the guarantee of the bid in a form of a banking guarantee on behalf of the economic operators, the member of the group who will issue the invoice and an account where payments will be performed and a short description of the obligations of each of the members of the group of economic operators for performance of the agreement.

1.8.5 All members of the group of bidders are individually and severally responsible in front of the contracting authority for performance of their obligations. The contracting authority will communicate with the representative of the group of bidders.

Note: At the moment of submission of the bid, all group members should be registered in the Electronic Public Procurement System.

1.8.6 The economic operator within the same procedure for awarding an agreement on public procurement may participate only in one bid. All bids will be rejected if the economic operator:

— participates in more than one independent bid and/or as a member in a joint bid or

— participates as a subcontractor in another independent bid and/or as a member in a group bid.

1.8.7 The economic operator may participate as a subcontractor in more than one bid.

1.8.8 The bidder may engage subcontractors. If the economic and the financial condition, as well as the technical and the professional ability of the bidder are not supported by other entities in a form of subcontractors, he is not obliged to deliver documentation for determination of the ability of the subcontractors. Otherwise, action will be undertaken in accordance with the articles 151 and 154 of the Law on Public Procurement, regardless of whether the other entities are subcontractors or not.

1.8.9 If the bidder intends to cede part of the agreement on public procurement to one or few subcontractors, in the bid it must indicate data about the part of the agreement that it intends to cede to subcontractors, as well as data about all proposed subcontractors (company, head office, tax identification number and similar data). The bidder is responsible before the contracting authority for performing the agreement on public procurement, regardless of the number of subcontractors.

1.8.10 The individuals who participated in the preparation of the tender documentation may not be bidders or members in a group of bidders in the procedure for awarding the agreement.
