In order to verify their personal state, the private partner has to submit the following documents:

— a statement that no effective court decision has been passed against the private partner in the course of the last 5 years for participating in a criminal organisation, corruption, fraud and money-laundering,

— a certificate that no bankruptcy proceedings are under way issued by a competent authority,

— a certificate that no liquidation procedure is under way issued by a competent authority,

— a certificate of paid taxes, contributions and other public charges issued by the competent authority of the country where the private partner is registered,

— a certificate from the registry of penalties for committed crimes of legal persons that no secondary penalty…

… prohibition to participate in public call procedures awarding public procurement contracts and public-private partnership contracts has been passed against the private partner,

… of temporary or permanent prohibition to perform individual activity has been passed against the private partner,

— a certificate that no misdemeanour sanction has been passed against the private partner — prohibition to perform profession, activity or other duty or temporary prohibition to perform certain activity.

Capacity to perform professional activity:

In order to verify their capacity to perform professional activity, the private partner has to submit a document for registered activity verifying that they are registered as natural or legal persons that perform the activity related to the subject of the contract for establishing a public-private partnership or verifying that they belong to a certain professional association in accordance with the regulations of the country where the private partner is registered.

The private partner has to own ‘B’ license for construction work in accordance with the Construction Law issued by the Ministry of Transport and Communications of the Republic of Macedonia or an equivalent document issued from the country where the private partner comes from.

Економска и финансиска состојба:

The private partner verifies meeting the minimum condition of Sub-section 2.4.1 Indent 1 and 2 or 2.4.2 by submitting a balance sheet and an income statement issued by the Central Register of the Republic of Macedonia.

Минимално ниво(а) на стандарди:

In order to qualify as capable of performing the concerned contract for establishing public-private partnership regarding their economic and financial state, the private partner has to meet the following conditions:

— the private partner has to have had a positive financial result in the last 3 years,

— the private partner has to have made an overall financial income in the last 2 years of no less than the equivalent of 1 000 000 EUR in MKD for each year separately.

Техничка и професионална способност:

The private partner verifies meeting the minimum conditions from Section 2.5.1) relating to the technical and professional capacity by:

1. for Sub-section 1 from Section 2.5.1 by submitting a statement and:

— M1/M2 forms for all employees and engineers or an equivalent document for candidates from another country. In case there are candidates from another country, a certificate from the country where the private partner comes from has to be submitted verifying that they are authorized for construction of the concerned buildings or a certificate verifying their accessibility issued by another legal entity (contract, agreement and the like).

2. for Sub-section 2 of Section 2.5.1 the private partner submits a list of equivalent or similar activities/services or delivered goods by providing a copy of the contracts relating to the subject of this notice along with a certificate that verifies the quality execution of the aforementioned. In case the private partner is unable to provide such certificate, a statement will suffice. The minimum condition of Section 2.5.1 Indent 2 may also be verified cumulatively by concluding more contracts within the projected deadline.

3. For Sub-section 3 from Section 2.5.1, the private partner has to submit neatly signed statement verifying that they shall provide the concerned items successively in accordance with the dynamic plan after the selection and the conclusion of the contract.

4. For Sub-section 4 from Section 2.5.1, the private partner submits the requested sample.

Минимално ниво(а) на стандарди:

In order to qualify as capable of performing the concerned contract for establishing public-private partnership regarding their technical and professional capacity, the private partner has to meet the following minimum conditions:

1. to have at their disposal workers — professional staff hired for the execution of the contract constituted of at least 2 electrical engineers with proper authorizations for construction of buildings of the same or similar kind and at least 15 workers.

2. to have concluded at least one contract in the field of the concerned activity of the public-private partnership or in the field of electrics in accordance with the technical specifications in the sum of no less that the equivalent of 750 000 EUR in MKD in the last 5 years.

3. to have access to LED bulbs so that the object of the procurement may be executed, in accordance with the technical specifications and the dynamic plan of execution.

4. to have at their disposal a sample of a LED bulb with a proper LED housing for street lighting of 1

Потребни депозити и гаранции:

Offer Guarantee:

The private partner must submit an original offer guarantee that shall be unconditional, irrevocable and instantly chargeable by the public partner issued by a bank with headquarters in the Republic of Macedonia or by a foreign bank with at least, BBB, long term credit rating according to Moody’s investors service, Standard and Poors or Fitch ratings for the last year or equivalent to this rating.

The offer guarantee has to amount to 3 % of the estimated value excluding VAT.

The offer guarantee has to be valid for no less than 14 days of the expiry date of the offer.

The public partner may ask that the validity period of the offer and the guarantee be extended.

Each private partner that has failed to extend the offer guarantee for the validity period may be disqualified.

Each offer that does not have an acceptable offer guarantee is deemed as ineligible and shall not be evaluated. The offer that has a guarantee with a validity period shorter than the validity of the offer shall be deemed as ineligible and shall not be evaluated.

The offer guarantee is activated by the public partner under the following conditions:

a) if the private partner withdraws their offer in the period while the offer is still valid,

b) if the selected private partner does not sign the PPP contract,

c) if they do not meet the guarantee for quality execution of the contract that the public partner has stipulated in the tender documentation.

The public partner shall return the offer guarantee after concluding the contract with the selected private partner and after submitting the guarantee for quality execution of the contract.

Guarantee for quality execution of the contract for establishing a public private partnership.

The private partner must submit an original offer guarantee that shall be unconditional, irrevocable and instantly chargeable by the public partner issued by a bank with Headquarters in the Republic of Macedonia or by a foreign bank with at least BBB long term credit rating according to Moody’s investors service, Standard and Poors or Fitch ratings for the last year or equivalent to this rating.

The guarantee for quality execution of the contract has to amount to 15 % of the estimated value excluding VAT for the entire duration of the contract. The private partner has to extend the validity of the guarantee for quality execution of the contract no later than 30 days prior to the expiry date of the validity of the bank guarantee for each year of the execution of the PPP contract.

The private partner must submit the guarantee for quality execution of the contract no later than 15 days after the original contract has been signed.

The guarantee for quality execution of the contract is activated by the public partner if:

a) the private partner does not meet the contract obligations within the arranged deadlines or within the extended deadlines provided by the public partner or if the they do not fulfil their obligations as agreed upon; or

b) the private partner makes capital investments and changes without the compliance of the public partner.

The guarantee for quality execution of the contract is returned to the private partner within 14 days starting from the day the contract has been fully executed.

Means of payment:

For the investment the maintenance expenses and the consumed electricity for public lighting, the public partner shall pay a percentage of the collected public utility fee in monthly instalments for the duration of the contract, the percentage shall be determined on an electronic auction.

Each offer containing means of payment that differs than the one established in this section shall be deemed as ineligible and as such shall be rejected by the committee in charge of conducting public-private partnership.

Deadline for execution:

— The deadline for execution commences once the holder of the procurement is engaged.

— The holder of the procurement must execute the arranged services within 6 months according to the following dynamic plan.

The location where the procurement shall be executed is the territory of Saraj Municipality. The duration of the contract for establishing a public-private partnership is 13 years.

Each offer that contains a deadline and location of execution that differ than the ones established in this section shall be deemed as ineligible and as such shall be discarded by the PPP committee.

Advanced payment:

The execution of the contract for establishing public-private partnership cannot be paid by means of an advanced payment.

Every bidder with a legal interest in obtaining a public procurement contract that has suffered or might suffer damage from a potential breach of the provisions of this Law, may request legal remedy against the decisions, actions and inactions by the contacting authority in the procedure for awarding a public procurement contract, in accordance with the conditions and procedure envisaged in the Public Procurement Law. The right to an appeal in a procedure that ends with an electronic auction in terms of determining the capacity of the bidders and the full evaluation of the initial offers is carried out within 8 days once a decision is reached for selecting the most favourable bidder or annulling the procedure.
