Part II. Annex 1 — Technical Specifications for Part 1. 1. Subject of the procurement: Engaging of a marketing company for organization of a regional forum for investments in the area of tourism which includes complete project management, consulting, realization and logistics. The public procurement contract shall be in duration of 9 months upon the signing thereof. 2. Purpose: The forum aims to promote investment opportunities in tourism in the Republic of Macedonia and the benefits offered to investors by addressing high-profile corporate executives and key decision makers in the process of initiating new investment projects. 3. Location and period when the forum will take place: The forum subject to the procurement will be held in the City of Skopje. The period (date and time) will be determined by the contracting authority by submitting an order for delivery, but not less than 30 days before the start of performance of the contract in accordance with the minimum deadlines set out in item 5 of the technical specification. 4. Main features: The main features of the forum include but are not limited to: — Focus on tourism in Macedonia and investment opportunities offered; — Contact with multinational key decision makers, i.e. companies in the area of tourism that are likely to expand their capacities with a new investment in Macedonia; Providing participants from targeted multinational companies in the area of tourism; Building connections for future cooperation; PR campaign for the conditions on investing in the tourism in RM. 5. Services to be provided by the economic operator: — Consultation related to the programme; — Market research; — Ensuring the participation of selected audience- minimum 50 participants in the forum with 100 % key decision makers and management in the area of tourism, that will be previously approved by the contracting authority. The threshold of tolerance for unprovided participation is 5 participants. For each exceeding of the tolerance a contractual penalty of the total value of the contract will be charged, as follows: — up to 20 000 denars per participant unprovided. — Providing visibility at IHIF 2016 and UNWTO through promotional material and print media; — Setting up a banner for the forum in a minimum of 6 newsletters for a period of at least 12 weeks; — Ensuring the promotion of the event at IHIF 2016 and UNWTO in order to ensure the presence of relevant stakeholders as part of the selected audience (50) forum participants — Management and logistics of the event itself; — Audio and video support to the event; — Reports on the successfullness and accomplishment after the completion of the forum; — Providing of a forum moderator. 6. Project management: The procurement holder is obligated to perform the subject of the procurement as set out in the technical specification. The procurement holder is obligated, as of the date of signing the contract until the expiration thereof, to manage the organization of the forum at every level and make final decisions upon prior approval by the contracting authority. The forms for the documents to be exchanged in connection with the performance of the contract shall be adopted no later than two weeks upon signing the contract. 7. Communication and notification procedures: The spoken language of communication shall be Macedonian and/or English. The channels of communication shall be formal (a system for keeping errors/requests, official reports, minutes, e-mails) depending on the importance and urgency of the information to be exchanged. For the formal communication, forms for status reports, minutes, change requests, error reports, etc. shall be used, which shall be subject to agreement between the procurement holder and the contracting authority. 8. Reports and control: In the course of the contract performance, representatives of the contracting authority and/or other external experts, authorized by the contracting authority, shall be entitled to inspect the ongoing work of the procurement holder, related to the subject of the public procurement contract. The procurement holder is obliged to submit a report on its performance to the contracting authority following the completion of the forum in written and/or electronic form. Part II. The public procurement contract shall be in duration of 9 months upon the signing thereof. 2. Purpose: The forum aims to promote investment opportunities in tourism in the Republic of Macedonia and the benefits offered to investors by addressing high-profile corporate executives and key decision makers in the process of initiating new investment projects. 3. Location and period when the forum will take place: The forum subject to the procurement will be held in the City of Skopje. The period (date and time) will be determined by the contracting authority by submitting an order for delivery, but not less than 30 days before the start of performance of the contract in accordance with the minimum deadlines set out in item 5 of the technical specification. 5. Services to be provided by the economic operator: — Selection and reservation of a hall in a hotel with a class of minimum 4 stars or other type of space on an equivalent level with a minimum capacity of 200 participants upon prior approval by the contracting authority; — Providing a stage with a size of min. 4 x 6 metres and its branding (10 people should be able to sit there); — Providing a led screen with a size of minimum 3 x 3 metres (for a presentation); — Providing of a pulpit; — Providing appropriate lighting and sound system which is adequate to the size of the hall; — Providing persons for technical support; — Providing transport for the participants from the airport Alexander the Great to the venue of the forum and vice versa for the entire duration of the forum; — Providing transportation during the forum for a sightseeing tour around Skopje; — Providing a sightseeing tour of the central city area with a professional tourist guide; — Providing a sightseeing tour of cultural and historical sights; — Consultation related to the programme; — Design and printing of promotional material (brochure) related to the event in 2 formats; — Design of a forum logo; — Management and logistics of the event itself; — Simultaneous translation from English into Macedonian and vice versa; — Branding of the event. 6. Project management: The procurement holder is obligated to perform the subject of the procurement as set out in the technical specification. The procurement holder is obligated to manage the organization of the forum at every level and make final decisions upon prior approval by the contracting authority from the date of signing of the contract until its expiration. The forms for the documents to be exchanged in connection with the performance of the contract shall be adopted no later than two weeks upon signing the contract. 7. ban has been pronounced for participation in invitation to public call procedures, awarding of public procurement contracts or private-public partnership contracts;
temporary or permanent interdiction on carrying out particular business activity has been pronounced;
— statement that no misdemeanour sanction — interdiction on carrying out profession, action or responsibility, i.e. temporary interdiction on carrying out particular business activity, has been pronounced with an effective court decision.
2.1.3 The statement from indent 1, sub-item 2.1.2 shall be prepared and signed by the economic operator, and it does not have to be verified by a competent authority.
2.1.4 The statements that no bankruptcy procedure and no liquidation procedure has been initiated, as well as the statements from the Register of penalties referred to in indents 5 and 6, sub-item 2.1.2. for criminal acts committed by legal persons, shall be issued by the competent authorities in the country in which the economic operator has been registered. In the Republic of Macedonia the competent authority for issuance of the aforesaid statements is the Central Register of the Republic of Macedonia.

2.1.5 The receipt on settled taxes, contributions and other public duties shall be issued by the competent authority from the country in which the economic operator has been registered. In the Republic of Macedonia the competent authority for issuance of the aforesaid receipt is the Public Revenue Office.

2.1.6 The statement of indent 7, sub-item 2.1.2 shall be issued by the competent authority in the country in which the economic operator has been registered. In the Republic of Macedonia the competent authority for issuance of the aforesaid statement is the Central Register of the Republic of Macedonia.

2.1.7 The documents of sub-item 2.1.2 shall not be older than 6 (six) months calculated from the final deadline for submission of the bids calculated backwards.
2.1.8 If the country in which the economic operator has been registered, does not issue the documents specified in sub-item 2.2.2, or if they do not encompass all aforementioned cases, the economic operator may submit a statement verified by a competent authority.

In order to qualify as capable of fulfilling the public procurement contract in terms of its economic and financial status, the economic operator should meet the following minimum requirements:
— to have a positive result from normal operation conducted in each of the last three (3) years -2013, 2014 and 2015.
2.3.2 In case the economic operator has been executing the business activity in a period shorter than 3 years, the minimum condition to determine the economic and financial status of the economic operator is the fulfilment of the condition stated in sub-item 2.3.1 for the years for which data exist.

2.3.3 The economic operator shall prove the fulfilment of the minimum requirement in sub-items 2.3.1 and 2.3.2 by submitting:
— balance sheet and income statement certified by the competent authority, i.e. audited balance sheet and income statement or extracts form the balance sheet and income statement in cases when the publication of the balance sheet and income statement has been prescribed by law in the country where the economic operator is registered for the past three financial years (2013, 2014 and 2015);

2.3.4 If the balance sheet and the income statement have been subject of commercial audit, the economic operator shall submit them as evidence that it meets the minimum requirement for establishing the economic and financial status without additionally verifying them at the competent authority.

2.3.5 If the balance sheet and the income statement have not been subject of commercial audit, the economic operator shall submit them verified, i.e. issued by the competent authority as evidence that it meets the minimum requirement for establishing the economic and financial status. The competent authority in the Republic of Macedonia is the Central Register of the Republic of Macedonia.

2.3.6 The economic and financial status of the economic operator can be supported by another entity, regardless of the legal connections between the economic operator and the aforesaid entity, except for data of the income statement. If the economic operator shall prove its economic and financial eligibility referring to the support of another entity, the economic operator shall validate that support by evidence stating that the aforementioned entity shall make available to the economic operator the adequate financial resources. No effective court decision for participation in a criminal organization, corruption, fraud or money laundering should be rendered against the entity providing the financial support.

2.3.7 If the economic operators submit a bid in a group of economic operators, the economic and financial status shall be established by considering the resources of all members of the group. If the group of economic operators acts by the financial support of a third entity, the economic and financial status shall be established in accordance with the aforementioned.

In order to qualify as capable of implementing the public procurement contract in terms of its technical and professional capability, the economic operator should meet the following minimum requirements:
— The economic operator must have experience in implementation of at least two (2) contracts for performance of services for the organization of conferences for investments in the hotel industry and/or real estate in the last three (3) years. (applicable to Part).

— The economic operator should have an experience in the implementation of at least two (2) contracts for performance of equal or similar services (organization of events in the area of tourism, real estate and/or cultural events) in the last three (3) years. (applicable to Part 2)

— The economic operator must provide experienced and competent team members who will be engaged to implement the subject of the contract in accordance with the defined services, consisting of at least five (5) members, of whom at least three (3) with the following qualifications:

a) To have a university degree, with at least 3 years working experience in hotel investments and/or real estate (applicable to Part 1).
2.4.2 The economic operator proves the fulfilment of the minimum requirements of sub-item 2.4.1 by submitting, as follows:
— a Reference List of previously provided services for organization of
conferences for investments in the area of the hotel industry and/or real estate in the last 3 (three) years, as follows: service user (contracting authorities and/or economic operators), subject of the service, time of performance and contact person with phone/e-mail address, in addition to a document for confirmation of services issued by the recipients or, if such documents cannot be provided due to a reason out of control to the economic operator, only by their statement of services rendered (applicable to Part 1).

2.4.3 The technical and professional capability of the economic operator can be supported by another entity, regardless of the legal relations between the economic operator and that entity, except for the segment of reference lists, previously concluded contracts. If the economic operator proves its technical and professional capability referring to the support of another entity, it is obliged to demonstrate that support with a valid proof that that entity will make available the adequate technical and professional resources to the economic operator. Against the entity that provides the technical and professional support there must not be announced a legally effective court decision for participation in a criminal organization, corruption, fraud or money laundering.

2.4.4 If economic operators submit a bid as a group of economic operators, the technical and professional capability is proved by taking into account the resources of all group members. If the group of economic operators participates with technical and professional support from a third entity or third entities, the technical and professional capability shall be established in accordance with the aforementioned.

2.4.5 While checking the completeness and validity of the documentation to determine the capacity of the economic operator and evaluating the bid, the commission must require that economic operators clarify or supplement the documentation proving their capacity within five work days from the final deadline for submission of bids.

2.4.6 The economic operator shall submit the required explanation in writing, within the period determined by the contracting authority, which may not be shorter than five work days, as from the day of receipt of the request by the bidder.
2.4.7 Except in cases when arithmetical errors need to be corrected, no other changes in the bid must be sought, offered or allowed by the commission or the economic operator.
2.4.8 In case of a group of economic operators, all members of the group individually demonstrate their personal status and the capacity to pursue the professional activity.

As part of its bid, the economic operator is obliged to provide a bid guarantee in the amount of 3 % of the total value of the bid, without VAT.
The bid guarantee shall be in the form of a bank guarantee. All banks are acceptable to the contracting authority.
The bid guarantee shall also be submitted in original form in procedures conducted electronically. Scanned bid guarantees/copies of bid guarantees shall not be accepted /the guarantee can be submitted in paper form in the manner determined by the deadline for submission of bids. If the guarantee is available in the original electronic form/ electronic guarantee / it shall be attached via the ESPP along with the bid and the supporting documents.

The guarantee must have validity period of at least 14 days from the day the validity period of the bid expires. Any bid that does not include a bid guarantee, or includes a bid guarantee that is not in accordance with the requirements in the tender documentation, shall be rejected by the contracting authority as unacceptable.

The bid guarantee may be collected by the contracting authority, if the economic operator:
— withdraws its bid before the validity period expires;
— does not accept the correction of arithmetical errors suggested by the commission;
— does not sign the public procurement contract and
— does not provide a guarantee of quality execution of the contract.
In exceptional cases, the contracting authority may ask tenderers to extend the validity period of the tender guarantee.
The bid guarantee of the unsuccessful economic operators shall be returned within 7 days following the signing of the contract with the most favourable economic operator.
The bid guarantee of the economic operator whose bid was selected as most favourable shall be returned after the bidder has signed the public procurement contract and submitted a guarantee for quality performance of the contract.
The bid guarantee shall be submitted in the filing office of the Ministry of Transport and Communications by the day and hour defined as final for submission of bids.
Form and signing of the bid
The bid shall be submitted electronically through the ESPP and it should be electronically signed by using a digital certificate of the responsible person at the economic operator or a person authorized by them. If the bid is signed by a person authorized by the responsible person, an authorization for signing the bid signed by the responsible person shall also be attached.

More detailed information regarding the method of digital signing can be found in Annex 1 of the “User Manual for ESPP, posted at the home page of the ESPP website under the section “Economic operators”.
Additional information on the use of digital certificates: The bid shall be signed electronically using a digital certificate, issued by a certificate issuing company, registered at the Ministry of Finance of the Republic of Macedonia.
A foreign economic operator can electronically sign the bid by using a qualified digital certificate, issued by a registered certificate issuing company based in the European Union.
In the case of the use of a qualified certificate issued by an issuer based in a third country, the certificate can be considered valid if one of the following three conditions is met:
— The issuer meets the requirements for a qualified certificate prescribed by the Law on Electronic Data and Electronic Signature ( “Official Gazette of the Republic of Macedonia” No. 34/01, 6/02 and 98/08) and is voluntarily accredited in the European Union or

— Registered domestic issuer guarantees for the foreign certificate issued as if it issued the certificate or
— It was arranged by a bilateral or multilateral international agreement concluded between the Republic of Macedonia and another country or international organization.
The Commission reserves the right if during the evaluation it questions the validity of the certificate used or certificate issuer to request additional information or documents to prove the validity of the certificate.
The holder of the digital certificate used to sign the documents that are part of the bid (financial and technical bid, statements) must be the authorized signatory of the legal entity (economic operator), or a person authorized by the authorized signatory. Although a person who is not an authorized signatory at the economic operator in order to be issued a certificate is required to submit an authorization (power of attorney) of the authorized signatory (manager) of the legal entity, still when this person — holder of a certificate signs a bid, it is obligatory that the authorization is attached as part of the bid.

The power of attorney shall be deemed valid if it is attached:
a) electronically signed with a digital certificate of the manager;
b) in a scanned form with the seal and signature of the manager or
c) in paper form with the seal and signature of the manager.
Bids signed with a digital certificate owned by a person who has no authorization to sign the bid shall be rejected as bids with formal deficiencies.
A requirement for signing a contract with the most favourable bidder is provision of a guarantee for quality performance of the contract in amount of 10 % of the public procurement contract value.

The quality performance guarantee shall be collected if the contractor fails to meet any of its obligations under the public procurement contract within the established due period.
The contracting authority shall return the bank guarantee for quality performance of the contract to the contractor no later than 14 days of the full completion of the public procurement contract and after the contractor has delivered a bank guarantee for the warranty period to the contracting authority.

The contracting authority shall return the guarantee for quality performance of the contract to the contractor by post, or in person at the seat of the contracting authority.

Any interested person may attend the public opening of bids.
Only representatives authorized by the bidders may participate in the procedure of public opening of the bids by giving their comments which would be entered in the minutes of the opening of bids.
At the public opening, the authorized representatives of the economic operators must have an authorization signed by the responsible person of the economic operator. All authorized representatives of the economic operators, attending the public opening, shall sign an attendance sheet.

The opening of bids shall be performed electronically through the ESPP and it shall be public.
The public opening will take place on 3.5.2016, at 11:00, at the Ministry of Transport and Communications.
Submitted bids shall be opened in accordance with the Law on Public Procurement as follows: one by one, by reading the name of the economic operator, whereupon it shall be ascertained whether the bids are submitted under sub-item 4.8 of the tender documentation and whether they are electronically signed, and afterwards follows the reading of the bids in the same order in which they were opened. Those bidders who do not meet the conditions of the tender documentation shall be excluded from the further procedure, that is, they shall not be invited to the e-auction. No bid shall be rejected at the opening of bids, except for those who were submitted late.

The Public Procurement Commission shall commence the public opening of bids even if only one bid was submitted. 7 During the opening of bids minutes is kept under the Rulebook for the procedure of opening of the bids and the Form of the minutes for the opening of bids (‘Official Gazette of the Republic of Macedonia’ No. 154/07).

Prior to the bid evaluation the commission checks the completeness and validity of the documentation determining the capacity of the bidder.
Unacceptable bids shall not be evaluated.
The evaluation of bids shall be made in accordance with the criteria specified in the tender documentation published in the announcement for awarding a public procurement contract.

The threshold of tolerance for unprovided participation is 5 participants. For each exceeding of the tolerance a contractual penalty of the total value of the contract will be charged, as follows: — up to 20 000 denars per participant unprovided.

— Providing visibility at IHIF 2016 and UNWTO through promotional material and print media;
— Setting up a banner for the forum in a minimum of 6 newsletters for a period of at least 12 weeks;
— Ensuring the promotion of the event at IHIF 2016 and UNWTO in order to ensure the presence of relevant stakeholders as part of the selected audience (50) forum participants
— Management and logistics of the event itself;
— Audio and video support to the event;
— Reports on the successfullness and accomplishment after the completion of the forum;
— Providing of a forum moderator.
6. Project management:
The procurement holder is obligated to perform the subject of the procurement as set out in the technical specification. The procurement holder is obligated, as of the date of signing the contract until the expiration thereof, to manage the organization of the forum at every level and make final decisions upon prior approval by the contracting authority.

The forms for the documents to be exchanged in connection with the performance of the contract shall be adopted no later than two weeks upon signing the contract.
7. Communication and notification procedures:
The spoken language of communication shall be Macedonian and/or English. The channels of communication shall be formal (a system for keeping errors/requests, official reports, minutes, e-mails) depending on the importance and urgency of the information to be exchanged. For the formal communication, forms for status reports, minutes, change requests, error reports, etc. shall be used, which shall be subject to agreement between the procurement holder and the contracting authority.

8. Reports and control:
In the course of the contract performance, representatives of the contracting authority and/or other external experts, authorized by the contracting authority, shall be entitled to inspect the ongoing work of the procurement holder, related to the subject of the public procurement contract.

The procurement holder is obliged to submit a report on its performance to the contracting authority following the completion of the forum in written and/or electronic form.
Part II. Annex 1 — Technical Specifications for Part 2.
Engaging of a marketing company for organization of a regional forum for investments in the area of tourism which includes transport of participants in the forum and complete logistics during the forum.
— Selection and reservation of a hall in a hotel with a class of minimum 4 stars or other type of space on an equivalent level with a minimum capacity of 200 participants upon prior approval by the contracting authority;
— Providing a stage with a size of min. 4 x 6 metres and its branding (10 people should be able to sit there);
— Providing a led screen with a size of minimum 3 x 3 metres (for a presentation);
— Providing of a pulpit;
— Providing appropriate lighting and sound system which is adequate to the size of the hall;
— Providing persons for technical support;
— Providing transport for the participants from the airport Alexander the Great to the venue of the forum and vice versa for the entire duration of the forum;
— Providing transportation during the forum for a sightseeing tour around Skopje;
— Providing a sightseeing tour of the central city area with a professional tourist guide;
— Providing a sightseeing tour of cultural and historical sights;
— Design and printing of promotional material (brochure) related to the event in 2 formats;
— Design of a forum logo;
— Simultaneous translation from English into Macedonian and vice versa;
— Branding of the event.

Each bidder having a legal interest in obtaining the public procurement contract and which suffered or might have suffered damage from any possible violation of the provisions of the Law on Public Procurement, may ask for legal protection against the decisions, actions and failure to act on the part of the contracting authority in the process of awarding the contract on public procurement, pursuant to the provisions of the Law on Public Procurement. The right to appeal in a procedure which ends with an electronic auction, shall be realized upon the adoption of the decision on selecting the most favourable bidder or cancellation of the procedure.

6.3.2 The appeal shall be filed within 8 days of:
— the publication of the announcement on the award of a public procurement contract in terms of the information, actions or failures to undertake actions under the announcement;
— receipt of the decision on selection of the best bid or annulment of the procedure or
— knowledge of illegal conducting of the procedure for awarding a public procurement contract, no later than one year from the date of completing the procedure.
The economic operator failing to lodge an appeal in terms of the provisions in sub-item 6.3.2, has no right of appeal at a later stage of the proceedings on the same legal basis.
6.3.3 The appeal shall contain the following elements:
— Information about the appellant (name, surname, name of the economic operator, residence address and registered seat address),
— Information about the representative or proxy,
— Name and seat of the contracting authority,
— Number and date of the procedure for awarding the public procurement contract and information on the call for awarding public procurement contract,
— Number and date of the decision on selecting the most favourable bid, cancellation of the procedure or other decisions of the contracting authority,
— Information on the actions or failure to act on the part of the contracting authority,
— Description of the actual status,
— Description of the irregularities and their explanation,
— Proposal of evidence,
— Appeal and/or request for reimbursement of costs of the procedure and
— Signature of the authorized person and seal.
6.3.4 The appellant shall enclose a proof for effected payment of the fee for conducting the procedure.
The appellant that is not domiciled in the territory of the Republic of Macedonia shall appoint a proxy for acceptance of documents.
6.3.5 The appeal shall be filed to the State Commission. The appeal shall be filed in person or by registered mail at the same time to both the contracting authority and to the State Commission. The day of filing shall be the day on which the appeal is filed by registered mail. In case of filing the appeal in person the contracting authority shall issue to the appellant a certificate of the time of receipt.

In the procedure before the State Commission, the appellant, in addition to the administrative tax, shall also pay fee for conducting the procedure depending on the bid price, that is as follows:
— Up to 20 000 EUR in denar counter value, fee in amount of 100 EUR in denar counter value;
— From 20 000 EUR to 100 000 EUR in denar counter value, fee in amount of 200 EUR in denar counter value;
— From 100 000 EUR to 200 000 EUR in denar counter value, fee in amount of 300 EUR in denar counter value; or
— over 200 000 EUR in denar counter value, fee in amount of 400 EUR in denar counter value.
6.3.6 In case there is no bid, the amount of the fee for conducting the procedure shall be calculated on the basis of the estimated value of the public procurement contract, whereby the State Commission notifies the appellant of the fee amount and the period within which it shall submit a proof for effecting the payment.

The fee for conducting the procedure is a revenue that goes to the Budget of the Republic of Macedonia.
